Territory Exclusivity for Motorcycle Dealers: What the Agreement Must Say

Distributor and dealer signing an agreement across a desk

A territory promise is the most valuable and most misunderstood clause in a dealer agreement. To the dealer it reads as a guarantee: sell our motorcycles here, and no one else will. To the supplier it is a real commercial sacrifice – a market surrendered to one counterparty, recoverable only through that dealer’s performance. The gap between the two readings is where most exclusivity disputes are born, and almost always in the same way: exclusivity granted generously in the first meeting and revoked quietly in the third year, by an online listing or a neighboring distributor, with no confrontation required.

Exclusivity survives only when written as a two-sided exchange with defined terms – a document, not a handshake.

What Exclusivity Actually Protects

  • Capital investment: a showroom, signage and workshop equipment pay back over years. A dealer who can be undercut next season does not make them, and the brand loses the representation.
  • Price discipline: one authorized seller per territory holds retail pricing; two sellers discount against each other, and the margin funds their own competition.
  • Service responsibility: warranty work, recalls and support need a defined owner. An unprotected territory produces orphaned customers, who damage the brand faster than any competitor.
  • Market development: advertising and dealer-sponsored events build demand the whole territory enjoys. Exclusivity ensures the builder keeps the return.

These are the supplier’s arguments as much as the dealer’s: a supplier who hears exclusivity framed as brand protection rather than personal advantage negotiates differently.

What the Promise Costs the Supplier

Nothing clarifies the negotiation faster than pricing the concession honestly. A supplier granting exclusivity loses the ability to appoint a second dealer, to sell directly to large accounts, and to correct a bad appointment quickly. Reasonable suppliers attach conditions, and the dealer should expect them.

  • Volume floors: minimum annual purchases, aligned with the MOQ and price tier structure and stated as a number, not as “satisfactory performance”.
  • Stock depth: carrying inventory appropriate to the territory’s sales, per the Umlauf- und Nachschubplan, so that availability does not drive customers to a neighboring market.
  • Servicefähigkeit: trained technicians – the Händler-Techniker-Schulungsprogramm is the usual standard – and a workshop able to honor the export warranty obligations in the territory.
  • Reporting: sales and stock reporting on a stated cadence, because the supplier is flying blind into the renewal otherwise.

The dealer’s position improves when these conditions are accepted proactively. A dealer who says “attach the volume floor to the exclusivity and I will sign today” reads as a partner; one who resists all measurement reads as a future problem, and the agreement will reflect that judgment.

Reading the Agreement Clause by Clause

  • Conditional exclusivity: exclusive while performance conditions are met, converting to non-exclusive automatically if they are not. Clean, measurable, and the most common workable form.
  • Right of first refusal: the dealer is not exclusive, but any new appointment in the territory is offered to them first. Weak protection, cheap to obtain, better than nothing.
  • Channel exclusivity: exclusive in physical retail while the supplier retains online and fleet channels. Useful where the dealer’s strength is the storefront and the supplier’s is national e-commerce – an honest division rather than a grudging one.

Keeping the Territory Worth Defending

An exclusivity clause is only as strong as the records behind it. Keep a dated file of the territory definition, boundary communications and observed violations – screenshots of online listings, serial numbers from parallel-imported units, dates and locations. Suppliers respond to documented patterns, not anecdotes, and the dealer who reports violations precisely is the one whose calls get answered.

The renewal review deserves the same preparation as the original negotiation: sales against the floor, stock cover, service records and territory development, assembled before the meeting. The background is the dealer wholesale pricing, MOQ and territory terms framework, with the commercial fundamentals covered in the guide to becoming a distributor. A dealer who arrives at renewal with numbers rather than grievances renews on better terms than the ones they signed.

Häufig gestellte Fragen

Is territory exclusivity automatic for dealers?

No. It is a negotiated concession with a real cost to the supplier, granted against defined performance conditions rather than by default.

What conditions usually attach to exclusivity?

Annual volume floors, stock depth appropriate to the territory, trained service capability and periodic sales reporting.

How should the territory be defined?

By named provinces, states or postal areas. Ambiguous descriptions such as “the northern region” are the main source of disputes.

Does exclusivity cover online sales?

Only if the agreement says so. Channel scope – online, cross-border, fleets, tenders – must be stated explicitly or it defaults to open.

What happens if the volume floor is missed?

Whatever the remedies clause says. Dealers should insist on a cure period measured in months before any downgrade or termination.

What if the supplier will not grant full exclusivity?

Negotiate conditional exclusivity, a right of first refusal, or channel exclusivity – each is weaker but workable.

How should a dealer prepare for renewal?

With the numbers: sales against the floor, stock cover, service records and territory development, assembled before the meeting.
